Package travel Agreement for group bookings

1.Definitions
1.1. Organiser – a trader who combines, offers for sale and sells packages. Whenever referred to in these Conditions, the Organiser is - Silky Holidays”, Registration number 05536/2005 Address: Elhovo, 11 Kaloyan str. Bulgaria.
1.2. Package Travel Agreement – means a contract on the travel services included in the Package. Our final confirmation, containing main features of travel services included in Package, the Conditions and other special terms and conditions referred to in these Conditions are integral part of the Package Travel Agreement;
1.3. “We”, “Our”, “Ourselves” and “Us” – Silky Holidays or Organiser.
1.4. Traveler – You or other member of Your group, who have agreed to receive travel services included in Package and thus concluded Package Travel Agreement with Us.



2. Package travel booking conditions
2.1. In order to receive our Package offer, You must use the special form for group and/or approach us in other communication channels.
2.2. When submitting the request for group You guarantee that You have the authority to accept these Conditions and conclude the Package Travel Agreement on behalf of your group.
2.3. We will respond to Your request as soon as possible but not later than within two (2) business days by sending our Package offer to e-mail address indicated in Your request.
2.4. A Package travel booking will exist as soon as we issue our final Package travel booking confirmation, containing main features of travel services included in Package, and invoice for the agreed Package. We may issue separate invoices for each travel service included in Package. In case invoice for any of the travel services included in Package is submitted to You latter, then a Package travel booking will exist only after the last invoice for travel services included in Package will be issued.
2.5. Package Travel Agreement will become effective only after You will pay the invoice for travel services included in Package.
2.6. Invoice for travel services included in Package should be paid in accordance with terms and deadlines set in the invoice.
2.7. If the amount indicated in the invoice is not paid in due time, We shall cancel Your travel arrangements and Package Travel Agreement will not enter into force.
2.8. After the complete payment for travel services included in Package, You will receive payment confirmation to e-mail address indicated in Your request.
2.9. All other travel services related correspondence and/or communication, carried out after submission of Your initial request, but before submission of Our final Package travel booking confirmation and invoice should not be taken into account and should not be considered as part of Package Travel Agreement.
2.10. In addition to these Conditions, also Terms & conditions of group travel are applicable to Your Package Travel Agreement.
2.11. Our third party suppliers also have their own terms and conditions (hereinafter - Suppliers’ Conditions). They govern the services they provide and You’ll be bound by these, even if You have a contract with Us. In the event of any conflict between a Suppliers Conditions, these Conditions and other special terms and conditions, the Supplier’s Condition or special condition that conflicts with the Conditions will take precedence, unless it is deemed under applicable law to be invalid or unenforceable, in which case the relevant condition in Conditions will prevail. You can get copies of the relevant Supplier’s Conditions if You ask Us.



3. Organiser rights and obligations
3.1. Silky Holidays as Organiser is responsible for the proper performance of all travel services included in the Package Travel Agreement.
3.2. We may change Your booking. Silky Holidays is entitled to unilaterally make insignificant changes to terms of Package Travel Agreement, before the start of the Package. We will ensure that You are notified about it in a clear, comprehensible and prominent manner on a durable medium. Examples of insignificant changes include alteration of you by no more than 24 hours, change of accommodation type to another of the same or higher standard, change of carriers, etc.
If We alter significantly any of the main characteristics of the travel services included in Package You will have the rights set out below and in section 4 of the Conditions.
3.3. We are obliged to provide alternative arrangements. Where a significant proportion of the travel services included in Package cannot be provided as agreed in the Package Travel Agreement, at no extra cost to the Traveller, will offer suitable alternative arrangements of, where possible, equivalent or higher quality than those specified in the Package Travel Agreement, for the continuation of the Package.
Where the proposed alternative arrangements result in a Package of lower quality than that specified in the Package Travel Agreement, Silky Holidays would grant the Traveller an appropriate price reduction.
3.4. If any of the travel services included in Package are not performed in accordance with the Package Travel Agreement, Silky Holidays would remedy the lack of conformity, unless that is impossible or entails disproportionate costs, taking into account the extent of the lack of conformity and the value of the travel services affected.
3.5. Silky Holidays may increase the price of the Package only if specific costs rise and in any event not later than 20 days before the start of the Package. If the price increase exceeds 8 % of the price of the Package, You will be entitled to terminate the Package Travel Agreement.
3.6. Additional assistance to be provided. If You are in difficulty whilst of holiday as per the Package and ask Us to help, We will provide assistance, in particular by:
(a) providing appropriate information on health services, local authorities and consular assistance; and
(b) assisting You to make distance communications (calls/emails) and helping to find alternative travel arrangements.
In order to receive the above assistance You shall contact Us by using the contact information indicated in the Conditions.
We are entitled to charge a reasonable fee for such assistance, the amount of which will be assessed on case by case basis, if the difficulty is caused intentionally by You or other member of Your group or by negligence. That fee will not exceed actual costs incurred by Us.



4. Travellers rights and obligations
4.1. If booking on behalf of other Your group members, You accept the Conditions on behalf of all group members, and You are responsible for informing each group member about the applicable terms and conditions. We are not responsible for the interpersonal relationship between You and other group members, nor for any resulting issues.
4.2. You can transfer Your booking. You may transfer the Package to another person, on reasonable notice, but not later than seven days before the start of first travel service included in the Package, and subject to additional costs related to name change on Your flight tickets and/or for hotel reservation. In such case, You as the transferor of the Package Travel Agreement and the transferee will be jointly and severally liable for the payment of the balance due and for any additional fees, charges or other costs arising from the transfer.
4.3. If You change Your booking. If, after the payment for travel services included in Package, You wish to change Your travel arrangements in any way, We will do Our utmost to make these changes but it may not always be possible. Any request for changes to be made must be send in writing from the person who made the booking. You will be asked to pay any further cost We incur in making this alteration. You should be aware that these costs could increase the closer to the departure date that changes are made and You should contact Us as soon as possible. Certain travel arrangements may not be changeable after a reservation has been made and any alteration request could incur a cancellation charge of up to 100% of that part of the arrangements.
4.4. Lack of conformity during the performance of a travel services. You must inform Us, without undue delay, of any lack of conformity which You perceive during the performance of a travel service included in the Package Travel Agreement. In such case, please use contact information indicated in the Conditions. You are entitled to a price reduction and/or compensation for damages where the travel services included in Package are not performed or are improperly performed.
4.5. Change of significant elements of Package. If, after the start of the Package, significant elements of the Package cannot be provided as agreed, We will offer suitable alternative arrangements to You at no extra cost. You may terminate the Package Travel Agreement without paying any termination fee and get a full refund of any payments, where services are not performed in accordance with the Package Travel Agreement and this substantially affects the performance of the Package and We fail to remedy the problem.
4.6. If before the start of the Package We cancel the Package, You are entitled to refund and compensation where appropriate.
4.7. Cancellation of travel services included in Package. Any cancellation or amendment request must be sent to Us in writing by You or any member of Your group and will not take effect until received by Us. If You cancel or amend Your booking We or Our supplier(s) may charge the cancellation or amendment charge shown in their terms and conditions (which may be 100% of the cost of the travel arrangements).
4.8. You may reject the proposed alternative arrangements, offered to You in accordance with section 3.3 of the Conditions, only if they are not comparable to what was agreed in the Package Travel Agreement or the price reduction granted is inadequate.
4.9. Passport, Visa and immigration requirements. Your specific passport and visa requirements, and other immigration requirements are your responsibility and you should confirm these with the relevant Embassies and/or Consulates. We do not accept any responsibility if You or any member of Your group cannot travel because You have not complied with any passport, visa or immigration requirements.
4.10. You have a right to a price reduction of the Package only if there is a decrease in the relevant costs (for instance fuel price), and in any event not later than 20 days before the start of the Package.



5. Liability
5.1. You must inform Us without undue delay of any failure to perform or improper performance of the travel services included in Package. If any of the travel services included in Package are not performed in accordance with the Package Travel Agreement, or are improperly performed, by Us or the travel service suppliers, and this has significantly affected the enjoyment of Your travel arrangements, You may be entitled to an appropriate price reduction or compensation or both.
5.2. We will not be liable where any failure to perform or improper performance of the travel services is due to: You or another member of Your party; or a third party unconnected with the provision of the travel services in the Package and is unforeseeable or unavoidable; or unavoidable and extraordinary circumstances, which means a situation beyond Our control, the consequences of which could not have been avoided even if all reasonable measures had been taken.
5.3. Our liability may be foreseen in any relevant international convention or other legal acts, such as Montreal convention in respect of travel by air, etc. We are to be regarded as having all benefit of any limitation of the extent of or the conditions under which compensation is to be paid under these or any other conventions. Our liability will also be limited in accordance with and/or in an identical manner to the contractual terms of the companies that provide the travel services that make up Your Package

7. Other conditions
7.1. Excursions or other tours that You may choose to book or pay for whilst you are on holiday as per Package are not part of your Package Travel Agreement provided by Us. For any excursion or other tour that You book, Your contract will be with the operator of the excursion or tour and not with Us. We are not responsible for the provision of the excursion or tour or for anything that happens during the course of its provision by the operator.
7.2. Statute of Limitations. Any claim arising out of or related to Package Travel Agreement and/or another aspect of the Conditions, must be filed with Us as soon as possible after its occurrence. In any case, the statute of limitations for said claims is three years, unless there are other statutes of limitations set in the Conditions or in the applicable normative acts of the Republic of Bulgaria. Claims filed after the statute of limitations will not be accepted.
7.3. Dispute resolution. You agree that Any disputes and disagreements that may arise due to improper execution of the Conditions and Package Travel Agreement, or in resolving issues concerning compensation for damage caused, We address through mutual negotiation. If no agreement between us can be reached, the dispute will be committed to trial in the Republic of Bulgaria's court system, and settled according to the existing rules and regulations of the Republic of Bulgaria.
